Terms of service
These terms cover the use of Deskwork, a back-office application for real-estate brokerages. They are written to be read once and understood, not to be long. "We" and "us" mean the operator of Deskwork. "You" means the brokerage that has a desk on the service, and the people it gives access to.
Using Deskwork means these terms apply. If your brokerage has signed a separate written agreement with us, that agreement wins wherever the two disagree.
1. Who may use it
- Deskwork is for licensed real-estate brokerages and the agents and staff they employ or contract with.
- Access requires a Google Workspace account on a domain your brokerage has approved, and an address that appears on your office's roster. A personal Gmail account cannot be used.
- Your brokerage is responsible for keeping that roster current, including removing people who have left. Removing somebody from the roster, or disabling their Workspace account, ends their access.
- Accounts are for one person. Do not share sign-in access with anyone.
- You must be at least 18 years old to use the service.
2. Your records are yours
Everything your office puts into Deskwork — your roster, your commission plans, your transactions, your dates, your checklists, your statements and your figures — belongs to your brokerage. We do not claim ownership of it.
We use it only to run the service for you: to store it, display it back to the people you have authorised, calculate what you asked the product to calculate, and send the two kinds of message described in the privacy policy. We do not sell it, we do not share it with advertisers, and we do not use it to train machine-learning models.
You are responsible for the accuracy of what you enter and for having the right to enter it, including information about your clients and the other parties on a transaction.
3. What the service does not promise
Three things are worth being blunt about.
- It is not professional advice. Deskwork calculates commissions, caps, fees and annual totals from the figures and plans your office enters. It is not legal, tax, accounting, compliance or brokerage-licensing advice. What you report to a tax authority, what you pay an agent, and what you file with your regulator remain yours to check and yours to sign. Check the numbers against your own records before you act on them.
- It is not your document archive. Deskwork records the name of a document and whether it has been filed. It does not store the document itself; your files stay in your own Google Drive. Keeping and backing up those documents is your brokerage's job, and a record marked complete here is not a copy of the paperwork.
- It is not a system of record for your legal obligations. Retention periods, transaction-file requirements and the rest of what your state and your board require of a broker are your responsibility. Deskwork helps you see them; it does not discharge them.
4. Availability and changes
We work to keep the service up and to keep your records safe, but we do not promise uninterrupted availability. The service may be unavailable for maintenance, for a fault, or for something outside our control.
The product is actively developed. Features may be added, changed or removed. If something is being removed that your office relies on, we will tell you before it happens rather than after.
5. What you agree not to do
- Try to reach another brokerage's records, or any account or data that is not yours.
- Probe, scan or test the security of the service, or work around any access control, role restriction or sign-in requirement.
- Use the service to break the law, to breach real-estate licensing or fair-housing rules, or to hold information you have no right to hold.
- Copy, resell, sublicense or rebrand the service, or make a derivative of it.
- Interfere with the service for others, including by automated traffic that degrades it.
If something is broken or exposed in a way it should not be, tell us at support@deskworkapp.com rather than exploring it. We will treat a report in good faith as a report, not as a breach of this section.
6. Fees
What your brokerage pays, and when, is set out in the separate written agreement or order between us. Nothing on this website is an offer of a price, and no fee is charged to an agent personally.
7. Our software stays ours
Deskwork, its source code, its design and its name belong to us. Using the service does not transfer any of that to you. Your records staying yours (section 2) and our software staying ours are two separate things, and both hold.
8. Ending it
Your brokerage can stop using Deskwork at any time. We can end access if these terms are seriously or repeatedly broken, or if fees agreed in writing go unpaid, and we will tell you why and give you a chance to put it right where the circumstances allow.
When access ends, you may ask for a copy of your brokerage's records and ask us to delete them from our servers. We will do both. Write to privacy@deskworkapp.com and say which you want.
9. Warranties and liability
The service is provided as it is. To the extent the law allows, we make no warranty that it will be uninterrupted, error-free, or fit for a particular purpose, and we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
To the extent the law allows, neither side is liable to the other for indirect, incidental, special or consequential loss, or for lost profits, lost business or lost data, arising out of the use of the service. Our total liability for any claim relating to the service is limited to the fees your brokerage paid us for it in the twelve months before the claim arose.
Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited.
10. Indemnity
You will cover us against claims brought by a third party that arise from your brokerage's use of the service in breach of these terms or of the law, including a claim about information your office entered that it had no right to enter.
11. Governing law
These terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-laws rules. The courts of the State of Michigan have jurisdiction over any dispute, and both sides agree to try to resolve it directly first.
12. Changes to these terms
If we change these terms, we will update this page and the "last updated" date at the top, and tell the brokerages using the product about any material change before it takes effect. Continuing to use the service after that means the new terms apply.
